Terms of Service

1) Agreement to Terms
These Terms of Service (“Terms”) govern your access to and use of the websites, products, and online services provided by OpenWebF (Cayman) (“OpenWebF,” “we,” “us,” or “our”) that link to these Terms (collectively, the “Services”).
By accessing or using the Services, you agree to be bound by these Terms. If you do not agree to these Terms, you may not access or use the Services.
Services definition
The Services include, without limitation:
- WebF Go — a playground application for exploring and testing WebF runtime features.
- WebF Runtime & Development Tools — software for integrating web technologies with Flutter applications.
- Online Subscription Services — online platform for purchasing and managing commercial licenses for the WebF framework.
- Documentation and Community Resources — including documentation, examples, and developer resources.
2) Account Registration and Responsibilities
a) Account creation
To access certain features of the Services, you must create an account. You may register using:
- Email and password credentials
- OAuth providers (Google, GitHub)
- Magic link authentication via email
You agree to:
- Provide accurate, current, and complete information during registration
- Maintain and promptly update your account information
- Maintain the security of your password and account credentials
- Immediately notify us of any unauthorized access or security breach
- Accept responsibility for all activities that occur under your account
b) Account restrictions
You must be at least 18 years old to create an account. You may not:
- Create multiple accounts for improper purposes
- Share your account credentials with third parties
- Use another person’s account without permission
- Impersonate any person or entity
We reserve the right to suspend or terminate accounts that violate these Terms or are inactive for extended periods.
3) WebF Framework Licensing
If you use the WebF framework as part of your application development, you must comply with the applicable license terms:
- Community Version (GPL-3.0): Free to use for open source projects, but requires your application to be licensed under GPL-3.0 and is incompatible with Apple App Store and Google Play distribution
- Commercial Licenses: Required for proprietary, closed-source applications and app store distribution

4) Payment and Subscription Terms
a) Commercial License Purchases
Commercial licenses for the WebF framework are available for purchase through our online subscription services. License types and pricing are detailed on our pricing page.
b) Payment Processing
Payment Processing: All payments are processed securely through Stripe. By purchasing a commercial license, you agree to Stripe’s terms of service.
Payment Methods: We accept major credit cards and other payment methods supported by Stripe.
Billing Cycle: Commercial licenses are billed annually based on the license type you select (Individual/Startup, Small Enterprise, AI App Builder, or Enterprise).
Automatic Renewal: License subscriptions automatically renew at the end of each annual period unless cancelled before the renewal date. You will be charged using your payment method on file.
Payment Failures: If payment fails:
- We will attempt to re-charge your payment method
- You will receive email notification
- After multiple failures, your license may be suspended or downgraded to the Community Version (GPL-3.0)
- License suspension may affect your ability to distribute proprietary applications
Price Changes: We may change license prices with 30 days’ advance notice. Price changes will take effect at your next renewal date. Continuing to use your commercial license after a price change constitutes acceptance of the new price.
c) Refunds and Cancellations
Cancellation: You may cancel your commercial license subscription at any time by contacting our sales team at sales@openwebf.com. Cancellations take effect at the end of your current billing period.
Refund Policy:
- No refunds are provided for partial billing periods
- No refunds for unused time within a billing cycle
- Grace period: You retain commercial license rights until the end of your paid period
- Exception: Refunds may be issued at our sole discretion for:
- Duplicate charges due to payment processing errors
- Exceptional circumstances as determined by our support team
Post-Cancellation: After your commercial license expires or is cancelled, you must:
- Cease distribution of new copies of proprietary applications built with WebF
- Either renew your commercial license or switch to the Community Version (GPL-3.0) for future development
- Existing end users may continue using previously distributed applications
d) Taxes
License prices do not include applicable taxes (sales tax, VAT, GST, etc.). You are responsible for all taxes associated with your license purchase. We will add applicable taxes to your invoice based on your billing address.
e) License Compliance
By purchasing a commercial license, you agree to:
- Use the license only for the number of products, team size, or app count specified in your plan
- Comply with eligibility requirements (company size, revenue limits) for your selected tier
- Provide accurate information about your company and intended use
- Notify us if your usage exceeds your plan limits
We reserve the right to audit license usage and upgrade or terminate licenses that violate plan terms.
5) Data, Privacy, and Security
a) Privacy Policy
Your use of the Services is also governed by our Privacy Policy, which is incorporated by reference into these Terms. The Privacy Policy describes:
- What information we collect
- How we use and share information
- Your privacy rights and choices
- Data security measures
b) Your data and content
You retain all ownership rights to content you upload to the Services (“Your Content”).
By uploading Your Content, you grant us a limited license to:
- Store, process, and transmit Your Content to provide the Services
- Back up Your Content for disaster recovery purposes
- Access Your Content for support and debugging purposes (with your permission)
This license terminates when you delete Your Content or close your account, except for:
- Backups retained for disaster recovery (deleted within 90 days)
- Content required for legal compliance or dispute resolution
c) Data security
We implement reasonable security measures including:
- Encryption in transit (TLS/SSL)
- Encryption at rest for sensitive data (credentials, tokens)
- Access controls and authentication
- Regular security audits and monitoring
However, no system is completely secure. You acknowledge that:
- You use the Services at your own risk
- We cannot guarantee absolute security
- You are responsible for maintaining the security of your account
d) Data location and transfers
Your data may be processed and stored in:
- United States (primary infrastructure)
- Third-party service provider locations (Stripe for payment processing, email providers, etc.)
By using the Services, you consent to the transfer of your data to these locations. For users in the EEA/UK, we implement appropriate safeguards (Standard Contractual Clauses).
e) Data retention
We retain your data according to our data retention policies. For detailed information, please refer to our Privacy Policy.
You may request deletion of your data by closing your account. See our Privacy Policy for details.
6) Intellectual Property
a) Our IP
The Services, including all software, designs, trademarks, logos, and content (excluding Your Content), are owned by OpenWebF and protected by intellectual property laws. We grant you a limited, non-exclusive, non-transferable license to access and use the Services in accordance with these Terms.
You may not:
- Copy, modify, or create derivative works of our software or services
- Reverse engineer, decompile, or disassemble our systems
- Remove or alter any copyright, trademark, or proprietary notices
- Use our trademarks without prior written permission
b) Feedback
If you provide feedback, suggestions, or ideas about the Services, you grant us a perpetual, irrevocable, royalty-free license to use, implement, and commercialize such feedback without compensation or attribution.
c) Open source
Certain components of the Services may use open source software. Such software is governed by its respective open source licenses, which may grant you additional rights.
7) Prohibited Uses and Acceptable Use Policy
You agree not to use the Services to:
Illegal Activities:
- Violate any applicable laws or regulations
- Infringe intellectual property rights of others
- Distribute malware, viruses, or malicious code
- Engage in fraud, phishing, or deceptive practices
Abuse and Security:
- Attempt to gain unauthorized access to our systems
- Interfere with or disrupt the Services or infrastructure
- Probe, scan, or test system vulnerabilities
- Use automated tools (bots, scrapers) without permission
- Circumvent usage limits or access controls
Content Restrictions:
- Create or distribute applications containing illegal content
- Use the Services for harassment, abuse, or privacy violations
- Use the Services to compete with or replicate our Services
Resource Abuse:
- Intentionally consume excessive resources to degrade service
- Resell or redistribute the Services without authorization
Violation of this Acceptable Use Policy may result in immediate suspension or termination of your account.
8) Disclaimers and Limitation of Liability
a) Disclaimer of warranties
THE SERVICES ARE PROVIDED “AS IS” AND “AS AVAILABLE” WITHOUT WARRANTIES OF ANY KIND, WHETHER EXPRESS OR IMPLIED.
TO THE FULLEST EXTENT PERMITTED BY LAW, WE DISCLAIM ALL WARRANTIES, INCLUDING:
- IMPLIED WARRANTIES of merchantability, fitness for a particular purpose, and non-infringement
- AVAILABILITY OR UPTIME guarantees
- ERROR-FREE OPERATION — bugs, errors, and service interruptions may occur
- DATA LOSS PREVENTION — we recommend maintaining your own backups
- THIRD-PARTY SERVICES — third-party dependencies and services are beyond our control
No advice or information obtained from us creates any warranty not expressly stated in these Terms.
b) Limitation of liability
TO THE FULLEST EXTENT PERMITTED BY LAW:
WE (AND OUR AFFILIATES, DIRECTORS, EMPLOYEES, AGENTS, AND LICENSORS) SHALL NOT BE LIABLE FOR:
- INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES
- LOSS OF PROFITS, REVENUE, DATA, OR BUSINESS OPPORTUNITIES
- LOSS OF GOODWILL OR REPUTATION
- SERVICE INTERRUPTIONS OR UNAVAILABILITY
- DELETION OR CORRUPTION OF DATA
- UNAUTHORIZED ACCESS TO YOUR ACCOUNT
- THIRD-PARTY ACTIONS or services
EVEN IF WE HAVE BEEN ADVISED OF THE POSSIBILITY OF SUCH DAMAGES.
AGGREGATE LIABILITY CAP: Our total liability for all claims arising from or relating to the Services shall not exceed the greater of:
- $100 USD, or
- The amount you paid us in the 12 months preceding the claim
Some jurisdictions do not allow certain limitations, so these may not apply to you.
c) Indemnification
You agree to indemnify, defend, and hold harmless OpenWebF (and our affiliates, directors, employees, and agents) from any claims, liabilities, damages, losses, and expenses (including reasonable attorneys’ fees) arising from:
- Your violation of these Terms
- Your violation of any law or third-party rights
- Your Content (including infringement claims, malicious code, or illegal content)
- Your use of the Services
9) Third-Party Services and Links
The Services may integrate with third-party services including:
- Stripe (payment processing for commercial licenses)
- OAuth providers (Google, GitHub for authentication)
- Email providers (for transactional emails)
These third-party services have their own terms of service and privacy policies. We are not responsible for:
- Availability or performance of third-party services
- Actions or omissions of third-party providers
- Changes to third-party APIs or integrations
- Data practices of third-party services
Links to third-party websites are provided for convenience. We do not endorse or control external sites.
10) Termination
a) Termination by you
You may terminate your account at any time by contacting support to request account closure.
Upon termination:
- You will lose access to your account and data
- Data will be deleted according to our retention policy
b) Termination by us
We may suspend or terminate your account immediately if:
- You violate these Terms or our Acceptable Use Policy
- We are required to do so by law or legal process
- We cease offering the Services
We will provide reasonable notice before termination unless:
- Immediate termination is required for legal or security reasons
- Your account is engaged in abusive or illegal activities
c) Effect of termination
Upon termination by either party:
- Your license to use the Services ends immediately
- You must cease all use of the Services
- Sections 6 (IP), 8 (Disclaimers/Liability), 11 (Disputes), and other provisions that by their nature should survive will continue to apply
11) Dispute Resolution and Governing Law
a) Governing law
These Terms are governed by the laws of the Cayman Islands, without regard to conflict of law principles. However, your statutory consumer rights under local law remain unaffected.
b) Informal resolution
Before filing a claim, you agree to contact us at andycall@openwebf.com to attempt informal resolution. We will attempt to resolve disputes in good faith within 30 days.
c) Arbitration (where applicable)
For users outside jurisdictions requiring court resolution, disputes that cannot be resolved informally shall be resolved through binding arbitration rather than court litigation.
Arbitration agreement:
- Conducted by a neutral arbitrator
- Governed by the rules of a recognized arbitration body
- Each party bears their own costs and fees
- Arbitrator’s decision is final and binding
Class action waiver: You agree to bring disputes only in your individual capacity, not as a plaintiff or class member in any class or representative action.
Exceptions: Either party may bring claims in small claims court or seek injunctive relief for IP violations.
d) Jurisdiction and venue
For disputes not subject to arbitration, you consent to the exclusive jurisdiction of courts in the Cayman Islands.
EU/UK Users: You may also bring proceedings in the courts of your country of residence.
12) General Provisions
a) Changes to Terms
We may modify these Terms at any time. When we make material changes, we will:
- Update the “Effective Date” at the top
- Notify you via email or in-app notification
- Post the revised Terms on our website
Continued use of the Services after changes take effect constitutes acceptance. If you do not agree to changes, you must stop using the Services and may cancel your account.
b) Assignment
You may not transfer or assign your rights under these Terms without our consent. We may assign these Terms to any affiliate or in connection with a merger, acquisition, or sale of assets.
c) Entire agreement
These Terms, together with our Privacy Policy and any additional terms for specific Services, constitute the entire agreement between you and OpenWebF regarding the Services.
d) Severability
If any provision of these Terms is found unenforceable, that provision will be modified to reflect the parties’ intent, or severed if modification is not possible, and the remaining provisions will remain in full effect.
e) Waiver
Our failure to enforce any provision does not waive our right to enforce it later. Any waiver must be in writing and signed by us.
f) Force majeure
We are not liable for delays or failures due to causes beyond our reasonable control, including natural disasters, war, terrorism, pandemics, government actions, network failures, or third-party service outages.
g) Language
These Terms are originally written in English. Translations may be provided for convenience, but the English version governs in case of conflict.
